Terms of Service

The commercial and usage rules that apply when you access Passinstance.

Acceptance of terms

By accessing the Passinstance website, creating an account, using hosted flows, or integrating with Passinstance APIs or related tools, you agree to these Terms of Service. If you do not agree, do not use the service.

Service overview

Passinstance provides software and related services for creating, issuing, updating, validating, and analyzing digital wallet passes, including Apple Wallet and Google Wallet use cases, public pass flows, APIs, webhooks, hosted assets, notifications, and operational dashboards. The exact scope available to you depends on the plan, order form, and technical configuration in effect.

Business use and contracting documents

Passinstance is primarily offered for business and organizational use. If you purchase paid services under a signed order form or other written commercial document with Passinstance, that document and any related data processing terms control over these website terms for the subject matter they expressly cover.

Accounts and access

  • You are responsible for maintaining the confidentiality of account credentials, API keys, tokens, and administrator access under your control.
  • You must ensure that invited users, contractors, and administrators are authorized to access your Passinstance workspace and act within the permissions granted to them.
  • You must promptly notify Passinstance of any suspected unauthorized access, security incident, or misuse involving your account or integration credentials.

Customer responsibilities

  • You are responsible for the legality, accuracy, and appropriateness of pass content, linked assets, landing pages, barcode rules, notifications, and campaign logic configured in your account.
  • You must have the rights, permissions, and legal basis needed to upload content, use trademarks, message passholders, and process personal data through your pass program.
  • You remain responsible for complying with applicable law, sector rules, and platform requirements from third parties such as Apple, Google, payment providers, and telecom or messaging partners where relevant.

Prohibited use

You may not use Passinstance to:

  • Create, distribute, or support unlawful, deceptive, fraudulent, abusive, or infringing content or campaigns.
  • Probe, disrupt, overload, reverse engineer, or attempt to bypass security, rate limits, quotas, access restrictions, or tenant boundaries.
  • Use the service to send unauthorized messaging, impersonate others, scrape data, or process personal data without a valid legal basis.
  • Resell, sublicense, or provide shared service bureau access to Passinstance unless a separate written agreement expressly permits it.

Commercial terms

Paid features are governed by the pricing, quotation, order form, or subscription terms presented at purchase or renewal. Unless expressly stated otherwise, public pricing is presented in EUR and fees are exclusive of applicable taxes, including VAT. Passinstance may suspend access to paid features for overdue invoices, material breach, or verified security risk.

Customer data, export, and retention

During an active subscription, you can access and manage your configured content and operational data through the features included in your plan. After suspension or termination, access may be reduced or removed, and any post-termination export or retrieval window may depend on the applicable plan, written order form, legal retention obligations, and backup or security procedures then in effect.

Service changes, maintenance, and support

We may update, improve, replace, or retire features as the platform evolves, including changes needed for security, legal compliance, or third-party wallet ecosystem requirements. We aim to avoid unnecessary disruption, but maintenance windows, emergency fixes, and dependency changes may affect availability from time to time.

Intellectual property

Passinstance and its licensors retain all rights in the software, platform design, documentation, and underlying technology. You retain rights in your own content, branding, data, and materials that you upload or configure, and you grant Passinstance the limited rights needed to host, process, and display that material for the purpose of providing the service.

Data protection and confidentiality

Our handling of personal data is described in the Privacy Policy and, where applicable, in customer agreements or data processing addenda. Where Passinstance processes personal data on your behalf, the parties may rely on a separate order form, data processing addendum, or similar written terms to define instructions, security responsibilities, and roles. Each party is responsible for protecting confidential information it receives from the other and for using that information only for legitimate business and service-delivery purposes.

Suspension and termination

You may stop using Passinstance at any time. Passinstance may suspend or terminate access where necessary to address non-payment, material breach, unlawful conduct, abuse, security threats, or repeated violations of these terms. Where appropriate and practicable, we will provide notice and an opportunity to remedy before termination takes effect.

Disclaimers and limitation of liability

Except where liability cannot be limited under applicable law, Passinstance is not liable for indirect, incidental, special, consequential, or punitive losses, including lost profit, lost business opportunity, or loss of data arising from your use of the service. The service is provided on an evolving software basis, and customer workflows, integrations, and third-party wallet ecosystems remain subject to factors outside Passinstance's direct control.
